Viacom Begins New Round Of Layoffs *Updated*
Viacom has started another round of staff layoffs as part of its ongoing cost-cutting effort, TheWrap has learned.
The job cuts, which are expected to not reach triple digits, will be focused on support employees — so not those directly involved in content creation. The affected staff represents less than 1 percent of the company’s 10,000 employees.
Update (2/7): It is thought that Viacom is cutting around 100 jobs.
Viacom Chief Executive Officer (CEO) Bob Bakish addressed the “changes across the organization” in an internal memo obtained by TheWrap Tuesday.
“While these changes didn’t impact a large percentage of our workforce, I know they were difficult nonetheless,” Bakish wrote to staff. “We are saying goodbye to some great team members, some of whom have been here for a long time, and have made an important impact on this organization. We’re so grateful for their contributions, and want to assure you we’re taking many steps to make their transitions easier.”
Viacom owns Nickelodeon, Comedy Central, MTV, the recently rebranded Paramount Network, BET, VH1, CMT and other cable channels. The publicly traded corporation is also home to movie studio Paramount Pictures.
Viacom used to be part of CBS. The two companies are considering remerging into one again.
Viacom was created by CBS back in 1952 to syndicate old TV series as CBS Films. That division was spun off as Viacom in 1971. National Amusements bought Viacom in 1986 and went on to buy CBS in 2000. The two companies split again in 2006.
But now, both companies have formed special committees to consider "strategic alternatives," which includes a potential deal. The talks started after Shari Redstone — daughter of 94-year-old media mogul Sumner Redstone — renewed a campaign to reunite the companies, following gaining effective control over her father’s companies. The Redstones control CBS and Viacom, with a roughly 80 percent controlling stake in each, through National Amusements.
Viacom is set to report its third-quarter earnings on Thursday, February 8. Bakish stated during Viacom’s last earnings call in November 2017 that the company was evaluating some cost-cutting efforts.
Read the Bakish’s memo in its entirety below.
"Team,
I know there’s been a lot of news in the past week – over the last year, in fact – about change (or potential change) in this company. I think it’s important to remember that so much of this change, while not always easy, has made us stronger. We’ve brought in new talent, re-energized our brands, rebuilt relationships – both inside these walls and out – and taken many other steps to strengthen and evolve our company for the future.
And, yes, sometimes change means making tough decisions – like today, where we made some changes across the organization. While these changes didn’t impact a large percentage of our workforce, I know they were difficult nonetheless. We are saying goodbye to some great team members, some of whom have been here for a long time, and have made an important impact on this organization. We’re so grateful for their contributions, and want to assure you we’re taking many steps to make their transitions easier.
It’s also very important to understand how purposeful our changes have been. It isn’t just about cutting costs – although we want savings, too, and more flexibility to invest in new areas. These moves are really about our continued efforts to create a more agile and efficient organization that can thrive in a time of constant change. I’ll be giving you more context around all of this in our Bob Live on Thursday, and can take any questions you have.
I’m so proud of all we’ve accomplished over the past year, and couldn’t be more excited about the opportunity the change in our industry creates. I want us to be an organization that is energized by reinventing this business, and has the capability and capacity to constantly transform. Let’s continually push ourselves to discover what’s new, and what’s next. Let’s get out of our silos and learn from each other, and create the new faster. Let’s embrace change and possibility.
Thank you for supporting each other through this process, and for your continued focus in driving us forward.
Best,
Bob"
This isn't the first time that the parent company of Paramount Pictures and Comedy Central underwent a round of job cuts. Last September, the company eliminated about 20 positions.
Meanwhile, the company is also looking to add another youth-skewing property to its portfolio. Viacom is rumored to be acquiring Vidcon, an annual conference for online video creators and their fans.
The move follows Viacom’s acquisition of WhoSay, an invitation-only social network for celebrities that has evolved into a creative-marketing agency that produces branded content.
The staff reductions come almost exactly one year after Bakish unveiled an ambitious reorganization plan for Viacom. A significant element of the revamp plan came to fruition last month with the relaunch of cable channel Spike TV as Paramount Network, which Viacom has attempted to position a platform for premium scripted programming with new shows such as “Waco” and “Yellowstone.”
Bakish was named CEO in December, 2016, following the ouster of former embattled top executive Philippe Dauman amid a power struggle for control of ailing mogul Sumner Redstone’s media empire.

Nickelodeon Latin America (Latinoamérica) has announced that Maxi Espíndola and Agustín Bernasconi have joined the judging panel of "Mashup Star", Nickelodeon's talent contest inspired by Nickelodeon's hit show Kally's MashUp, in which, through different stages of voting, one lucky fan will be chosen to participate in the second season of Kally's MashUp!
Agustín Bernasconi is a popular singer, actor and social media star, winning the orange blimp for "Chico Trendy" at Nickelodeon's Kids' Choice Awards Argentina in 2016 and 2017. Maxi Espíndola is an Argentine singer, composer and actor who recently featured in the first season of Kally's MashUp. Together, they'll become the Latin duo, MyA. They, along with the vote of the public, will help choose the finalists who will be going onto the next stage of "Mashup Star", which will be announced on Monday 26th February 2018.
To enter Nickelodeon's "Mashup Star" talent competition, fans can upload a video of themselves singing or playing a musical instrument to Instagram. The post must be public, and should include the hashtag '#Mashupstar' plus the hashtag of their country of residence, for example, #Argentina. Participants can be from any country in Latin America, and be between 7 and 16 years old. The videos should feature the entrant in a place they can be seen and heard well. All videos that comply with the rules will be uploaded to mundonick.com/mashupstar for everyone to vote for their favorites. The most voted will go to the next stage.
Kally’s MashUp is inspired by the real-life musical journey of Glee’s executive musical producer, Adam Anders. It follows the adventures of Kally, a young musical prodigy who tries to balance her life as a piano virtuoso and a regular girl when she moves from a small town to the most prestigious music university in the country. Although everyone thinks she was born to be a classical piano player, her true dream and passion is to be a pop star. Kally’s MashUp features original songs composed by Anders, his wife Nikki Anders, and longtime collaborator Peer Astrom. Anders serves as executive producer for the show and oversees all the music featured in the series.

Dispute Over Krusty Krab Restaurant Lands in Fifth Circuit *Updated*
Update - The dispute has landed in the Fifth Circuit. Please scroll down for the latest full update.
A Texas federal judge has ruled in Viacom's favor that "The Krusty Krab," the fictional fast-food establishment in Nickelodeon's number-one original animated series SpongeBob SquarePants, is deserving of trademark rights and that an enterprise that wanted to open up a "Krusty Krab" restaurant has violated such rights.
Maybe SpongeBob was wrong when he said, "You don't need a license to drive a sandwich," a movie quote footnoted in a summary judgment opinion released on Wednesday 11th January 2017.
IJR Capital Investments was sued by the owner of Nickelodeon in January 2016, and in the aftermath, the defendant challenged Viacom's assertion of a trademark and the likelihood of confusion among consumers.
Viacom hadn't registered "The Krusty Krab" with the Trademark Office, but has used it continuously since 1999 in at least 166 TV episodes and two feature films, and in associated merchandise.
In examining whether Viacom possesses a valid mark, U.S. District Judge Gray Miller first considers whether an element of a television show can be protected and concludes it can, nodding to past decisions giving Warner Bros. a common law trademark over such words and phrases as "Kryptonite" and "Daily Planet" based on use.
"IJR counters that the SpongeBob character is not as well-known as Superman, but fails to include any authority (legal or otherwise) to support its argument that fictional titles are not afforded trademark protection," writes Miller. "Because 'The Krusty Krab' is a recurring element of the SpongeBob SquarePants show, the court finds that the mark is eligible for trademark protection."
The judge also deems "Krusty Krab" to be distinctive by acquiring secondary meaning.
As for likelihood of confusion, the judge says the evidence presented is compelling.
"The court also finds it persuasive that both parties use the mark to describe a restaurant (albeit in Viacom’s case it is a fictional restaurant under the sea where the namesake character works for restaurant owner, Mr. Krabs)," states the opinion. " Context here is critical, because a consumer seeing either Viacom’s or IJR’s marks will likely think of a restaurant. Consumers may mistakenly believe that IJR’s restaurant is an officially licensed or endorsed restaurant, similar to how... Viacom Inc., through its subsidiary Paramount Pictures Corporation has licensed its marks for restaurants, including Bubba Gump Shrimp Co., a seafood restaurant chain inspired by the 1994 film Forrest Gump."
Although Viacom is granted summary judgment on its motion for trademark infringement, the company is denied victory on a separate claim for trademark dilution. To the media conglomerate's claim that IJR has diminished the ability of the "Krusty Krab" mark to distinguish the source of the product, the judge nods to the fact that the defendant hadn't opened the restaurant yet. He writes, "Both federal and state dilution law require that another party use a famous mark in commerce and Viacom has not shown that IJR has used the mark in commerce."

Dispute Over Krusty Krab Restaurant Lands in Fifth Circuit
HOUSTON (CN) – Determined to open a chain of restaurants called The Krusty Krab, a Houston man’s attorney told the Fifth Circuit on Monday that Viacom does not have trademark rights to the fictional restaurant where cartoon character SpongeBob SquarePants works the grill.
“Are you ready kids? ‘Aye Aye Captain!’ I can’t hear you. ‘Aye aye Captain!’ Ohh, who lives in a pineapple under the sea? ‘SpongeBob SquarePants!’ Absorbent and yellow and porous is he, ‘SpongeBob Square Pants!’”
The theme song to the cartoon series “SpongeBob SquarePants” is ingrained in the minds of fans of the show that has developed a cult following of both children and adults since it premiered on Viacom’s Nickelodeon network in 1999.
Viacom has made more than $12 billion in merchandising revenue from the cartoon, which expanded to two feature films, released in 2004 and 2015, that grossed more than $470 million in ticket sales. The cartoon even inspired an eponymous musical that premiered on Broadway last December.
The cartoon often features SpongeBob at his workplace The Krusty Krab, where he serves up Krabby Patty burgers at a breakneck pace under the watchful eye of the restaurant’s penny-pinching owner Eugene H. Krabs.
Though Viacom has not trademarked the restaurant’s name, it sued IJR Capital Investments LLC in January 2016 for trademark infringement after learning from newspaper articles that IJR’s owner Javier Ramos Jr. was planning to open restaurants in Los Angeles and Houston called The Krusty Krab.
U.S. District Judge Gray Miller sided with Viacom a year ago, citing Fifth Circuit precedent that “ownership of a trademark is established by use, not by registration,” and finding that IJR’s use of the name “creates a likelihood of confusion” that consumers would believe Viacom had licensed its use to IJR.
To win a federal trademark infringement claim, a company must prove it has a protectable ownership interest in the mark and that a defendant’s use of the mark is likely to confuse consumers that there is an affiliation.
IJR appealed to the Fifth Circuit last May and a three-judge panel of the New Orleans-based appeals court heard arguments Monday at the Houston federal courthouse.
In a 40-minute hearing that touched on adjudicated trademark disputes involving the comic books “Superman” and “Conan the Barbarian,” the 1980s TV series “The Dukes of Hazzard,” and the Romulan race of extraterrestrial beings from “Star Trek,” IJR’s attorney Christopher Schaefer argued that Viacom cannot trademark an ornamental backdrop in a cartoon show.
Schaefer said that it would create a huge chilling effect on business owners if they could be held liable for infringement for doing nothing more than filing an intent-to-use trademark application.
“Now our client, all he’s done is filed an intent-to-use application for The Krusty Krab. We don’t have a restaurant, we don’t have a location, we don’t have a theme, we don’t have hardly anything, but still the court found a likelihood of confusion,” Schaefer said.
Schaefer said Ramos stated in a deposition that he got the name idea from the crust that sticks to the top of crabs when they are put in a seafood boil, though Ramos has also testified that he did an online search for The Krusty Krab and saw it on “SpongeBob SquarePants” before filing his trademark application.
Viacom has licensed rights to companies that have created figurines of The Krusty Krab for aquariums, and made T-shirts and stickers depicting the restaurant, but Schaefer said it has never used the “mere words” absent drawings of the cartoon restaurant.
“Viacom has shown absolutely no evidence that it has used Krusty Krab alone. In fact, all of the evidence shows that it’s used within the SpongeBob SquarePants universe and that is all,” Schaefer said.
U.S. Circuit Judge Priscilla Owen seemed skeptical of Schaefer’s claims.
“Well, we have an intent to open a restaurant, a building, with the name Krusty Krab. It’s not like you’re creating crumbs to put on a grocery market shelf in a little box that says Krusty Krab,” she said.
It was clear that the 63-year-old Owen, a George W. Bush appointee, is not a frequent viewer of “SpongeBob SquarePants,” as she stumbled over the name.
“You’re saying you can build a restaurant and put Krispy, Krusty Krab, on the outside as long as it looks different from the cartoon drawing of the Krusty Krab restaurant in ‘Square.’ I can’t keep all this straight,” she said.
“Yes your honor, again, the ultimate test, is would consumers be confused. And we’ve at least raised the fact issue, we think as a matter of law that you cannot at this stage find a likelihood of confusion when there is no context of use,” Schaefer said.
But Viacom’s attorney, Steve Meleen with Pirkey Barber in Austin, argued that Viacom has a protectable trademark right to The Krusty Krab because it is an essential element of the cartoon.
“The Krusty Krab is not a backdrop and it’s not ornamental,” Meleen said. “It’s the central ingredient of the ‘SpongeBob SquarePants’ show. It’s the restaurant in the show where SpongeBob works and it’s in 80 percent of the episodes.”
He cited Kellogg’s Pop-Tarts to refute Schaefer’s claim that because merchandise depicting The Krusty Krab usually appears alongside SpongeBob SquarePants, that Viacom cannot assert trademark rights to the fictional restaurant’s name.
“It’s simply not the case that because SpongeBob is on there then that means Krusty Krab is not a mark. … Pop-Tarts is certainly a mark and it always appears with Kellogg,” he said.
Both Schaefer and Meleen compared the litigation to a lawsuit DC Comics filed in the 1970s in the Southern District of New York against the creators of a newspaper called The Daily Planet, which took its name from the fictional newspaper where Superman’s alter ego Clark Kent works as a reporter.
The judge in that case found that the real-life newspaper infringed on DC Comics’ Daily Planet trademark.
Schaefer said there was an obvious likelihood of confusion in that case because the newspaper copied the symbol of the Daily Planet from the comic exactly, used drawings of Superman and had articles about him.
“This totality, this copying of the theme in context is what created a likelihood of confusion. We have none of that here. All we have is an intent to use mere words. That is absolutely all that we have,” Schaefer said.
But Meleen played up the cases’ similarities.
“The Daily Planet is where Superman works, The Krusty Krab is where SpongeBob works. Both are unregistered common law marks that are central ingredients of their respective shows,” he said. “The defendant in that case used the mark for a newspaper called the Daily Planet so it was a fictional paper versus a real life paper. Here we have a fictional restaurant versus a real life restaurant.”
Meleen also questioned why Ramos chose the name The Krusty Krab for his proposed restaurant.
“Krusty is not an appetizing word and spelling crab with a K certainly does not denote fine dining,” he said.
Judge Owen asked Meleen if Viacom would object if Ramos opened a restaurant called The Crusty Crab.
“That would be a different case and I think we would have to analyze that. I would say very bluntly it wouldn’t be nearly as strong of a case as this one where he uses it with two Ks,” Meleen said.
Ramos’ attorneys have argued in court filings that using Ks for the name is more aesthetically pleasing, but Schaefer conceded at Monday’s hearing that if Ramos used Cs instead, the U.S. Patent and Trademark Office might consider the name generic, preventing Ramos from trademarking it.
U.S. Circuit Judge Jerry Smith tried to cut to the heart of Schaefer’s arguments.
“What relief then are you seeking on appeal?” asked Smith, a Ronald Reagan appointee.
Schaefer said he believes a jury trial would vindicate his client.
“We would assert, and any jury would see, that if we didn’t have the same color scheme, if we didn’t have anything at all relating to SpongeBob, that no one would presume these suggestive words for a seafood restaurant Krusty Krab would refer to the TV show,” he said.
The panel’s third judge, 96-year-old Jimmy Carter appointee Thomas Reavley, did not speak during the hearing, but he did question attorneys at hearings for different cases earlier in the day.
The Fifth Circuit panel did not say when it planned to issue a ruling.

Happy Birthday Sing-Along Song Lyrics
Happy birthday to you
From all your friends here to you
Happy birthday, happy birthday
Happy birthday to you
Blazing birthday to you
Blow out candles with a woo-hoo
Let's get revved up with some monster trucks
Blazing birthday to you
It's time for your birthday
A fantastic guppy birthday
You'll have a whale of a time deep down in the sea
At your Bubble Guppy birthday
Make a wish day to you
Three wishes just for you
Happy birthday, Boom Zahramay
We'll grant a wish to you
Puppy birthday to you
Shake your tail with a doggy crew
Give a yip-yip and a back flip
Puppy birthday to you
Happy birthday to you
Happy birthday to you
From all your friends at Nick Jr.
Happy birthday to you!

Viacom In Talks To Acquire VidCon
Viacom is close to acquiring VidCon, Variety has learned from individuals with knowledge of the transaction.
VidCon is a popular online video conference held annually in southern California since 2010. VidCon will become an independent division of Viacom and its team will remain intact at the same offices. Jim Louderback, who became CEO of VidCon last summer, will continue to lead the company.
Its leadership team will remain intact. A formal announcement is expected to be made later this week if the deal closes.
For Viacom, VidCon adds to a growing portfolio of influencer marketing assets. VidCon likely fits into Viacom’s efforts to connect with youth audiences, who gravitate more and more to digital platforms than the linear cable channels that are the conglomerate’s core assets. Just last month Viacom also acquired WhoSay, an influencer marketing firm that specializes in targeting young audiences online with branded content. Through VidCon, Viacom, the home to young-skewing networks like Nickelodeon and MTV, will also have access to a haven for YouTube stars and other talent bubbling up in the increasingly valuable digital sphere and to the thousands of engaged young fans and access who descend on the Anaheim Convention Center each year to meet their favorite YouTube stars.
Viacom Chief Executive Officer (CEO) Bob Bakish has been aggressive about remaking Viacom as the company looks to get back on its feet. He has also begun to engage CBS Corp. in a potential merger at the behest of National Amusements, which owns controlling interests in both conglomerates.
The annual conference got its start in 2010 when the YouTube creator community was just beginning to blossom. John and Hank Green, aka the “Vlogbrothers,” whose popular YouTube channel now has more than 3M subscribers. (John Green is also the author of books like the bestselling The Fault in Our Stars) founded VidCon as a way to encourage vloggers from across the country to meet up and share tips.
Often compared to Comic-Con, VidCon is a mix of young YouTuber fans who get a chance to mingle with their favorite stars, most of whom are barely older than them. While YouTube typically has a dominant presence at the event, other digital giants who court the influencer crowd have become more active in recent years including Facebook, Instagram and Musical.ly.
The event has grown significantly in the years since, moving to the Anaheim Convention Center in 2013 to accommodate its increasingly larger crowds. Last year's flagship VidCon hosted over 30,000 fans, creators and industry executives and is set to add square footage at the convention center. It has also grown to include events in Europe and Australia.
VidCon has also become an increasingly popular destination for media companies looking to promote upcoming movies and TV shows to the Generation Z crowd who tend to favor digital stars. Viacom has been a past participant, with Nickelodeon among the brands with a sizable presence on the show floor. NBCUniversal, Scripps and Fox have also made their presence known at the Anaheim-based event.
In August, VidCon announced that longtime programming executive Louderback would become CEO and Green would transition into the role of chairman. At the time, Louderback told THR that he would focus on growing the business through the creation of new events.
Viacom declined to comment on the transaction.
UTA manages the VidCon business. It's ninth edition of VidCon is scheduled to take place at the Anaheim Convention Center on June 20-23; international editions of the event are also in operation, a nod to the robust overseas marketplace for digital influencers. The explosion of online video content internationally prompted organizers to add editions in Amsterdam and Australia. VidCon Europe will take place March 22-24 in Amsterdam and VidCom Australia will take place Sept. 1-2 in Melbourne.
